Terms and Conditions

§ Definitions

Subscription:

A subscription is created for each Company associated with a User's DigiOps account.

Application:

The DigiOps platform and its associated digital services, designed to support operational management, standardization, and compliance documentation for organizations.

Application Data:

Data belonging to the User and processed within the Application, such as standard operating procedures, compliance documents, operational records, uploaded content, and form submissions.

User:

An individual with access to the DigiOps platform. This includes the person who initially creates an account as well as any users invited by them or by others within the same Company. Users may have different roles or permissions, such as administrators or viewers.

Usage Data:

Technical and behavioral data generated through the use of the Application (e.g., device information, browser type, IP address, session duration, feature usage, feedback).

Data Controller:

The entity that determines the purpose and means of processing Personal Data.

Data Processor:

The entity that processes Personal Data on behalf of the Data Controller.

Company:

The organization whose users access and utilize the Application.

Personal Data:

Any information relating to an identified or identifiable individual.

1 Acceptance of Terms

1.1 These Terms are accepted by checking the box "I accept the terms and conditions" on the signup form.

1.3 The Application is primarily intended for business use. Therefore, subscriptions for business accounts are not subject to a right of withdrawal. For private individuals, a 14-day withdrawal period applies according to applicable Danish and EU law. To exercise this right, the User must contact contact@digiops.eu.

2 Duration of the DigiOps Account

2.1 The agreement between the User and DigiOps takes effect upon account creation and continues until the user relationship is terminated according to these Terms.

3 Use of the Application

3.1 The User is granted non-exclusive access to the Application, which is limited to the User and their advisors. The Application may not be used on behalf of others or to provide services for third parties.

3.2 By creating a Company profile, the User guarantees they have the legal authority to accept these terms on behalf of the Company.

3.3 The DigiOps account may not be transferred to another person. Companies under the account may only be transferred with prior written consent from DigiOps.

3.4 The User must ensure the Application is not used in any way that harms the name, reputation, or goodwill of DigiOps or is in violation of any laws or regulations.

3.5 The User is solely responsible for the legality and content of their data and may not introduce malicious code or harmful materials into the Application.

4 Pricing and Payment

4.1 Subscription plans and current prices are available on the DigiOps pricing page. All prices are shown excluding VAT.

4.2 DigiOps reserves the right to change content, structure, and pricing of its services. Users will be notified by email or via the platform.

4.3 Subscriptions automatically renew at the end of each subscription period, unless cancelled prior to renewal.

4.4 Payment is collected in advance. Upon the end of a free trial, Users will be invited to continue by entering payment information or settling an invoice. Upon doing so, the User continues on the selected subscription plan and frequency.

4.5 Invoices are sent to the Admin User's email and include charges for subscriptions and any additional services.

5 Application Data

5.1 The User is the Data Controller of Personal Data entered in the Application and retains ownership of their Application Data. See the separate Data Processing Agreement for details regarding the processing of such data.

5.2 DigiOps may use Application Data in anonymized or aggregated form to maintain, develop, and improve the Application.

5.3 Application Data may be shared with other companies within the DigiOps group (if any), under the same terms and limitations described in these Terms and the Data Processing Agreement.

5.4 Upon termination, DigiOps will only process Application Data in anonymized form, unless required by law.

5.5 In cases of legal obligation, court order, insolvency, or death, DigiOps may grant third parties or authorities access to Application Data in compliance with applicable law.

6 Usage Data

6.1 DigiOps is the Data Controller for Usage Data if it includes Personal Data.

6.2 Usage Data may be used for statistics and analytics to improve the Application.

7 Operational Stability

7.1 DigiOps aims for high availability but is not responsible for outages caused by external factors such as power failure, internet outages, or force majeure.

7.2 In case of disruptions, DigiOps will work to restore service as quickly as possible.

7.3 Planned downtime will preferably occur between 21:00–06:00 CET and be notified in advance where feasible.

8 Termination

8.1 Admin Users may request account deletion by contacting contact@digiops.eu. This will also terminate any linked subscriptions.

8.2 If termination occurs during an active subscription period, the User remains liable for payment until the end of the period.

8.3 If a Company account has no active or valid payment after the end of a trial or paid period, access will be suspended. The Company account may be permanently deleted after 6 months. The User will be notified via email 1 month before deletion.

8.4 Subscriptions can be cancelled within the Application and no later than the day before the next billing cycle begins.

9 Changes to the Application

9.1 DigiOps may update, modify, or improve the Application at any time. Changes may affect data, functionality, and service access.

9.2 Users are responsible for keeping their contact information up to date to receive important service updates.

10 Intellectual Property

10.1 The Application and all materials within it – except for Application Data – are protected by copyright and other intellectual property rights and belong to or are licensed to ChangeForce ApS. Custom-built software remains the property of DigiOps unless otherwise agreed.

10.2 No intellectual property rights are transferred to the User.

10.3 By uploading or submitting content, the User grants DigiOps and its providers (including hosting, analytics, and AI-assisted processing providers listed in the Data Processing Agreement) a global license sufficient to operate the Application and fulfill its obligations. The User guarantees that uploaded content does not infringe third-party rights or violate laws or regulations.

11 Assignment

11.1 DigiOps reserves the right to assign its rights and obligations under these Terms to a related entity or third party.

12 Liability

12.1 DigiOps disclaims any liability for indirect losses, including consequential damage, third-party claims, or losses caused by simple negligence.

12.2 DigiOps is not responsible for third-party solutions integrated into the Application.

12.3 Total liability is limited to the amount paid by the User in the past 12 months, and never more than DKK 10,000.

12.4 The User agrees to indemnify DigiOps against any losses due to third-party claims arising from the User's use of the Application.

13 Confidentiality and Data Protection

13.1 Processing of Personal Data is governed by the Data Processing Agreement and the DigiOps Privacy Policy.

13.2 DigiOps is obligated to keep all user-related information confidential.

13.3 The User guarantees that any third-party credentials or data shared with DigiOps are authorized and lawful. The User shall indemnify DigiOps for losses arising from breach of this clause.

14 Amendments to the Terms

14.1 These Terms may be updated and revised by DigiOps at any time. The current version will always be available on digiops.eu. Continued use of the Application constitutes acceptance of the updated Terms.

15 Governing Law and Jurisdiction

15.1 These Terms are governed by Danish law. Disputes shall be settled by the District Court of Sønderborg as the court of first instance.

16 Validity

These Terms are valid from 19 February 2026 and replace any previous versions.
